Welcome to Ava AI, a Shopify app developed and operated by Ava AI Nexus LLC (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your access and use of the Ava AI app and related services (the “Service”). By installing or using Ava AI, you agree to these Terms. If you do not agree, do not install or use the Service.
1. Overview
Ava AI provides merchants with AI-powered phone-based customer service. The Service connects to your Shopify store to manage customer calls, access order information, and provide automated responses.
2. Eligibility
To use Ava AI, you must:Be at least 18 years old;Have a valid Shopify store and agree to Shopify’s Terms of Service;Provide accurate information during registration.
3. Use of the Service
You agree to use Ava AI only for lawful business purposes and in compliance with all applicable laws, including consumer protection, privacy, and telecommunications regulations.You agree not to:Use the Service for fraudulent, abusive, or misleading purposes;Attempt to reverse-engineer, copy, or modify the app’s source code;Interfere with the operation or security of the Service.
4. Data Access and Privacy
By installing Ava AI, you authorize the app to access certain Shopify store data as required to provide its features.Our data practices are described in our Privacy Policy. By using Ava AI, you agree to those terms.We do not sell personal data or use it for marketing.
5. Fees and Payments
Ava AI may charge subscription or usage-based fees. These fees are billed through Shopify’s billing system and are subject to Shopify’s payment terms.You are responsible for all charges incurred through your account. Fees are non-refundable unless otherwise required by law.
6. Intellectual Property
All content, technology, and materials within Ava AI—including code, design, trademarks, and documentation—are the exclusive property of Ava AI Nexus LLC.You are granted a limited, non-exclusive, non-transferable license to use the Service for your business. You may not reproduce, distribute, or create derivative works from the app.
7. Service Availability and Support
We aim to provide reliable, uninterrupted service but do not guarantee uptime or error-free performance.Support inquiries may be directed to support@avasales.ai.We reserve the right to modify, suspend, or discontinue any part of the Service without notice.
8. Limitation of Liability
To the maximum extent permitted by law, Ava AI Nexus LLC shall not be liable for:Any indirect, incidental, or consequential damages;Loss of data, revenue, or profits arising from your use or inability to use the Service.Our total liability for any claim shall not exceed the amount paid by you for the Service during the 3 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Ava AI Nexus LLC from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.
10. Termination
You may uninstall Ava AI at any time through your Shopify admin panel.We may suspend or terminate your access if you violate these Terms or engage in abusive or unlawful behavior.Upon termination, your right to use the Service ceases immediately.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles.Any disputes will be resolved in the courts located in Sheridan County, Wyoming.
12. Changes to These Terms
We may update these Terms periodically. Continued use of Ava AI after updates constitutes your acceptance of the revised Terms.
13. Affiliate Program
We may offer an affiliate program (“Affiliate Program”) that allows approved participants (“Affiliates”) to earn commissions by referring new merchants to Ava AI.
13.1 Eligibility and Enrollment
To participate, affiliates must be approved by Ava AI Nexus LLC and agree to all affiliate terms and guidelines provided separately. We reserve the right to accept or reject any application at our sole discretion.
13.2 Commission Structure
Affiliates earn a commission on payments received from referred merchants.Commissions apply only for the first six (6) months following the referred merchant’s initial paid subscription.After the six-month period, no further commissions are payable.
13.3 PaymentsCommissions are calculated and paid on a monthly basis, subject to verification.Payouts are made through the designated affiliate payment platform or other agreed-upon method.Fraudulent, self-referral, or duplicate accounts are ineligible for commissions.
13.4 Modifications and Termination
Ava AI Nexus LLC reserves the right to modify or terminate the Affiliate Program, commission structure, or eligibility criteria at any time without prior notice. Any commissions earned before termination will be paid according to these terms.
13.5 Limitation
Affiliates are independent contractors and not employees or representatives of Ava AI Nexus LLC. No partnership, joint venture, or agency relationship is created by participation.
